Welcome to the 2013 edition of the Atos IT Challenge. The objective of this contest is to promote and encourage innovation in an open environment amongst best-in-class Universities and students as well as support young innovators in taking their ideas forward.

Introductions

Welcome to the 2013 edition of the Atos IT Challenge, co-organized with Renault.

This contest is organized by Atos International SAS, Société par Actions Simplifiée, having its registered headquarters at River Ouest, 80, quai Voltaire, 95870 Bezons, France and registered under number 412 190 977 RCS Pontoise with the sponsorship and collaboration of Renault.

The objective of this contest is to promote and encourage innovation in an open environment amongst best-in-class Universities and students and to support young innovators in taking their solution forward.

These are the terms and conditions that will govern the contest. Please read them carefully. By entering the competition you agree to abide by the terms and conditions described below (hereinafter the “Rules”).

These Rules are registered with Maître François LIEURADE in France (contact@huissier-95.com, website http://www.huissier-95.com/) who is in charge of verifying the good progress of its implementation. The Rules can be consulted and printed at any time from the contest website at the following address: www.atositchallenge.net or they can be sent to you upon written request to the Contest Administrators at the address indicated in IT Challenge contacts below.

The Challenge

The challenge for the 2013 Atos IT Challenge will focus on Connected Cars.

In particular, we are looking for participants to consider:

“To create an App which provides “Well-being on the move” by enhancing the whole driving experience through an innovative app which offers drivers and passengers a host of new features, think of it as a on the move continuum both in and out of the car.?” and to be able demonstrate this by building a solution and showing the result in real-life (mobile application, servers application…).

Entry requirements

The contest is open to students enrolled in one of the invited Universities during the academic year 2012-2013, from any grade, but excluding Phd students.

The contest requires a good command of English both orally and in writing.

Each University will be able to present as many teams as they want, but each team will have to be composed by a minimum of 2 and a maximum of 5 members. Each invited University shall be given an identification code which the participating teams will have to quote when registering for the contest.

Participation in the contest shall be formalized by each team registering on line via the official contest website.

Timescales

− Formal registration by teams (by January 17th, 2013)
− Submission of solution: (by January 24th , 2013)
− Pre-selection decision: (by February 8th, 2013)
− Development Phase: (from February 8th 2013 to 7th May 2013)
− Presentation of solution (May 2013, date tbc)
− Selection decision: (17th May 2013, date tbc)
− Award Ceremony: (18th June 2013, date tbc).

Phases

The contest shall be conducted in the following phases:

I. Confirmation of Participation
The invited Universities shall confirm their interest in taking part in the contest by returning the invitation letter including the contact details of the University Sponsor.

II. Registration
Each team shall formalize participation in the contest by registering and including their contact details on line via the contest website.

III. Pre-selection Phase: Submission of solution
Each team shall develop and submit their solution by the indicated deadline, through the contest website. Each team is entitled to submit only one solution.
The initial solution shall be submitted in the indicated format and by using the official template available on the contest website.

IV. Pre-selection decision
The Jury shall select a maximum of 14 teams that shall be invited to participate in the final phase (Development Phase).

In addition, the team whose solution is the most voted on the website by the public will also be invited to participate in the final phase, provided the basic admissibility criteria are met (subject to Jury´s decision).

The selected teams shall be contacted and the list of selected teams published on the contest website.

V. Development Phase
During this phase, the selected teams will be invited to develop a solution in order to show their solution in real-life context and will be invited to present the results to the IT Challenge Jury for the final selection. The IT Challenge Jury shall be composed by experts designated and representing respectively Atos and Renault.
During the Development Phase, each selected team will be assigned an Atos expert that will help them and guide them in taking their solution forward throughout the development and presentation phase.

VI. Presentation

The selected teams will be invited to record a video presenting their solution, which will have to be submitted for assessment by the IT Challenge Jury.
During the week following the submission of the video- presentations, the IT Challenge Jury will organize a follow-up call with each of the selected teams to clarify potential issues and ask questions in connection with the presented solution.

VII. Final Selection and Award Ceremony

The IT Challenge Jury will select 1 winner and 2 finalists.
The winning teams will be contacted and their names published on the contest website during the month of April 2013. The winning teams and their University Sponsors shall be invited to attend the award ceremony, with attendance of Atos and Renault Top executives and selected partners. Details, location and date for the award ceremony shall be communicated to the winning teams in due course
Atos and Renault will arrange and/or cover the travel and accommodation expenses of the winning teams and their University Sponsors to attend to the award ceremony.

Jury and Selection Criteria

The IT Challenge Jury for the Pre-Selection Phase (Submission of Solution) shall be composed by members of the Atos Scientific Community (the Atos community gathering the best scientific experts within the Atos Group worldwide) and engineers from Renault.

The Jury for the Final Phase (Development and Presentation of Solution) shall be integrated by respectively Atos and Renault Top Executives, Technical experts and invited Partners.

The composition of the Final Jury shall be made available to the teams prior to the Presentation phase.

The Criteria to select the finalists and the winning projects will be:

− Benefit of the service for business partners 5pts »
− Personal feeling 5pts (originality, I like it ..) »
− Reality of business model 5pts (feasibility, market size, ecosystem, risks, ...) »
− Technical feasibility 5pts (architecture, project plan…)

Phase 2- Development and presentation phase: »
− Benefit of the service for end-users 5pts (Is it useful? Does it brings something new?) »
− Benefit of the service for business partners 5pts »
− Look and feel 5pts (Design, ergonomy, simplicity, I want to use it) »
− How far is go to market? 5pts (key partnership required, risks, market size) »
− Technical quality 5pts »
− Wahoo bonus ! 5pts (only for 1 project by each jury member )

Prizes

The Jury will select 1 winner and 2 finalists:

In addition to the above, Atos or Renault will offer to all the members of the winning team and the two finalist teams the possibility of applying for an IT Challenge-fast track internship to work within Atos or Renault on subject areas relating to their projects. Atos will also appoint a special “IT Challenge” HR point of contact, for those members of the winning and finalist teams that may wish to apply directly for an employment opportunity within Atos.

Prizes for all participants :
− All participants in the IT Challenge will also receive a set of gifts to thank them for their participation in the contest and will be invited to apply for an internship to work as part of the Atos organization.

Atos and Renault reserve the right not to select any winner should the final solution presented fail to meet basic admissibility criteria as per the Jury’s reasonable judgment. Atos and Renault reserve the right to modify or substitute any of the above prizes (for other prizes of equivalent value).

General Conditions-the Rules

− Acceptance of the Rules
By entering into this contest, the participants agree to abide by the Rules. This includes acceptance of the Rules by each individual member of the participating teams.

By submitting the registration form, each member of the team, warrants that he/she has all required authorizations and consents to enter into this competition on behalf of the relevant University and that all the consents and authorizations required from the members of the team, in case the registration is made by one team member on behalf of the rest of the members of the team, have also been duly obtained.

Atos and Renault reserve the right to disqualify from the contest, at any time, any team that in their reasonable opinion fails to comply with the Rules or whose participation may be contrary to or damaging the development or performance of the IT Challenge, Atos and/or Renault or other participants or third parties´ interests, image or reputation.

− Language
All official communications in relation to the IT Challenge (oral and written) shall be in English.
All materials and documents submitted for the purposes of the contest shall be in English, including but not limited to the submission of solution and the presentations of the solution.

− IPR
By conducting the IT Challenge, Atos´ and Renault’s joint intention is to promote and encourage innovation and competition amongst young graduates in a fair and collaborative way. Therefore, all intellectual property rights (IPR) in the solution submitted as part of the contest shall remain the ownership of the authors/team submitting such solution.

However, by entering the IT Challenge, the participants each individually, for whole or their part :
- Grant a royalty-free, perpetual, worldwide license to Renault for the use of the solution and all associated IPR for internal research and marketing purposes in the domain of automotive applications (including the right to sub-license)
- Grant a royalty-free, perpetual, worldwide license to Atos for the use of the solution and all associated IPR for internal research and marketing purposes in all other domains except for automotive applications (including the right to sub-license)
In addition, the participants each individually, for whole or their part:
- grant an option for an exclusive license to Renault on all IPR vested in their solution for the purpose of exploitation in the automotive domain
- grant an option for an exclusive license to Atos on all IPR vested in their solution for the purpose of exploitation in all other domains except for automotive
All grants governed by these Rules shall be deemed to be made to affiliates of the grantee, with no geographic restriction.

Upon their own discretion, Atos and/or Renault shall be entitled to exercise such option during a term of one (1) year from the Award Ceremony by sending a registered letter to all participants who are members of one same team and have jointly created the solution in the context of the IT Challenge.
Upon Atos and/or Renault sending such registered letter, the participants shall enter into good faith negotiations with Atos and/or Renault, as the case may be, to agree on the terms and conditions of such license.
For the avoidance of doubt, none of the above shall affect, prejudice or otherwise interfere with Atos´ or Renault’s ability to develop and commercialize, concurrently with the occurrence in time of the IT Challenge or in the future, any solution which may be similar in nature but for which Atos or Renault is able to demonstrate that such solution has been developed independently from IT Challenge submissions.
By entering into the contest the participants represent and warrant that the solution and all documents, presentations, drawings and other materials relating thereto (the “Materials”) shall be exclusively self-generated and will-to the best of their knowledge-not incorporate any third party IPR. The participants agree to take full and sole responsibility for the contents of such Materials and to warrant, on a good faith basis, the absence of any third party intellectual property rights infringement.
The participants agree to grant to Atos and Renault and their respective affiliates, a world-wide, perpetual, irrevocable, sub-licensable, non-exclusive and royalty free license to use, copy, adapt, modify, reproduce and publicly display and communicate in any way and format and through any media and support, the Materials submitted, for marketing and promotional purposes in connection with thE IT Challenge and as required for the organisation of the IT Challenge.

− Data protection

In order to be able to develop the different phases of the contest and keep in touch with the participants, we may need to handle certain personal information provided by the participants. Atos and Renault undertake that any personal information received from the participants will be used for the exclusive purposes of conducting the contest and communicating with the participants and will not be otherwise used or disclosed to third parties. Any personal information provided by the participants to Atos and Renault during the development of the contest will be handled in accordance with the Data Protection French Laws. If you have any questions regarding the way we handle your personal data or you want to have access, modify or cancel this information, please contact the IT Challenge administrator.

− Image Rights
The participants agree to grant Atos, Renault and their affiliates, a world-wide, perpetual, non-exclusive, transferrable and sub- licensable royalty free right to quote their names and use, publish, communicate and distribute in any media and format images taken during the celebration of the different phases of the contest (including but not limited to the pre-selection, development, presentation and award ceremony) for marketing activities in connection with the promotion of the IT Challenge.

− Miscellaneous
Atos and Renault reserve the right to revise, complete and/or amend at any time the Rules, on reasonable basis and as required on its opinion to ensure the successful development of the IT Challenge, in which case Atos will notify the participants in due course. All teams should specify a contact detail for notifications, and such notification shall be sent to this contact person. Atos and Renault reserve the right to suspend, postpone or cancel the IT Challenge at any time and/or modify or vary at any time any of the dates mentioned for the development of the contest, in which case the participants shall be informed in due course. Atos and Renault reserve the right not to select any winner should the minimum eligibility criteria not be fulfilled by any of the entries, as may be decided by the Jury. Atos and Renault shall not be responsible for any loss or damage of Materials or other type of information or data submitted nor for any technical failures or errors, including but not limited to failure to properly process submission of entries and Materials , nor loss or damage caused by computer viruses or otherwise resulting to any computer from participants access to or interaction with the contest site, nor caused by any malfunction, errors, delays, or non-availability or otherwise caused by or in relation to the contest website. It is the responsibility of each participant to take all necessary measures to protect his/her Material from any infringement, loss or damage, including data and\or software stored in their IT and phone equipments. The connection of every participant to the contest website and the participation in contest is made at participant’s sole risk. The decision of the Jury regarding the selection of winners and Atos´ decisions regarding the running of the contest will be final. The contest shall be governed by the Laws of France. By participating to the contest the participants acknowledge and agree, without reservation, that in relation to any dispute or controversy which could arise in relation to the contest, the present rules or other matters which otherwise may be directly or indirectly connected to this contest, they will be subject to the French laws, without prejudice to existing rules of conflicts of laws. The participants are thus subjected to the French regulations applicable to contests.
Any dispute which cannot be amicably settled between us will be submitted to the competent courts of Paris, included but not limited in case of plurality of defendants, incidental demand or appeal in guarantee.
